Mr. Rosen is a Managing Director of Charlesbank and may be considered to have beneficial ownership of shares of common stock of the Issuer managed by Charlesbank, and held by each of Charlesbank Equity Fund VI, Limited Partnership, CB Offshore Equity Fund VI, L.P., Charlesbank Equity Coinvestment Fund VI, Limited Partnership, and Charlesbank Coinvestment Partners, Limited Partnership (collectively, the "Charlesbank Funds"). Investment and voting control of the Charlesbank Funds is held by Charlesbank. Mr. Rosen disclaims beneficial ownership of all such shares, except to the extent of his pecuniary interest therein.
