The restricted shares were to vest, if at all, only upon both (i) Dominion Homes, Inc. (the "Company") reaching $30 in book value per share and (ii) the expiration of three years from the grant date. On October 22, 2006, the restricted shares were forfeited because the Company did not have a book value of at least $30 per share.
