(the "Company") approved the grant of options to purchase 750,000 shares of the Company's common stock to Mr. Carter under the Rotech Healthcare Inc. Common Stock Option Plan (the "Option Plan") subject to stockholder approval of an amendment to the Option Plan to increase the number of shares reserved for issuance under the Option Plan. The Company's stockholders approved the amendment to the Option Plan on June 29, 2007 at the Company's 2007 Annual Meeting of Stockholders.
