- [F1]Pursuant to the Merger Agreement between Innkeepers USA Trust (the "Company") and Grand Prix Holdings LLC, each common share was cancelled and converted into the right to receive $17.75 (the "Merger Consideration"). Owner's 6,250 shares deferred under the Company's executive deferred compensation plan were also converted to the right to receive the Merger Consideration. In addition, pursuant to the terms of the Merger Agreement, all unvested shares vested at the time of merger and were converted into the right to receive the Merger Consdieration, including Owner's 38,961 unvested common shares.
