Pursuant to the terms of the Directors' Plan, at the end of each completed fiscal quarter of service as an eligible director, a director receives an option to purchase 5,000 shares of common stock. All options granted under the Directors' Plan are fully vested as of the date of grant and have an exercise price equal to the fair market value of the underlying shares on the date of grant.
