(?APP?), whereby Merger Sub merged into APP with APP continuing as the surviving company and an indirect wholly owned subsidiary of Fresenius SE (the ?Merger?), this option, which was granted on December 19, 2007 and vested on the first anniversary of the grant date, was cancelled at the closing of the Merger in exchange for a cash payment of $95,400, which represents the excess of $23.00 per share over the exercise price per share of this option.
