- [F1]The transaction reported on this amendment to Form 4 is the sale by the reporting person of a portion of its limited liability company interest (the "interests") to the issuer pursuant to an issuer tender offer. Under the terms of the offer, the issuer accepted interests that were tendered by the reporting person when the issuer gave written notice on October 3, 2008 to the reporting person of the issuer's election to purchase the interests. The transaction date listed is the date the reporting person received written notice. However, as noted below, the amount being paid by the issuer is based on the net asset value of the purchased interests on December 31, 2008.
- [F2]Under the terms of the offer, the reporting person's interests are being purchased by the issuer based on the net asset value of the reporting person's interest (the value of the issuer's assets minus its liabilities, multiplied by the proportionate interest in the issuer of the reporting person's interests purchased in the offer), calculated as of December 31, 2008. On January 30, 2009 the reporting person received a communication from the issuer indicating that the net asset value at December 31, 2008 of the reporting person's interests sold in the tender offer (and, therefore, the price the issuer is paying for the interests) is $618,569.01.
- [F3]The amount reported as beneficially owned following the transaction is equal to the reporting person's capital account balance in the issuer, calculated as of December 31, 2008. The issuer provided information as to this amount in a January 30, 2009 communication to the reporting person.
