Prior to the distribution from DCAG, the 14,182 shares of the Issuer's Common Stock were issued to DCAG in exchange for an equal number of limited partnership interests ("Units") owned by DCAG, in DCT Industrial Operating Partership LP, the operating partnership of the Issuer, of which the Issuer is the sole general partner. The Units were redeemable for an equal number of shares of the Issuer's Common Stock, or at the election of the Issuer, cash equal to the fair market value of such shares. The Issuer elected to redeem the Units with the Issuer's Common Stock.
