- [F1]Each restricted stock unit represents a contingent right to receive one share of ArthoCare Corporation (the "Issuer") common stock.
- [F2]The restricted stock units vest over a five year period, with an initial 20% of such award vesting on September 1, 2010 (the "Initial Vesting Date") and 20% of such award vesting on each of the successive four anniversaries of the Initial Vesting Date. Vested restricted stock units will be delivered to Messrs. Belinfanti and Ahrens upon their respective retirements.
