An adjusted exercise price of each converted option was determined in accordance with Section 409A and Section 422 of the Internal Revenue Code of 1986. All other terms of the converted options remain the same however; the vesting and expiration is based on the optionholder's continuing employment with MGI or the Issuer, as applicable, following the spin-off.
