- [F1]OCM VoteCo, LLC ("OCM VoteCo") directly owns 100% of the Class A Membership Units of OCM HoldCo, LLC ("OCM HoldCo"). Mr. Masson, a former principal of Oaktree Capital Management, L.P. ("Oaktree"), was a voting member of OCM VoteCo and held 12.5 OCM VoteCo units. Prior to August 31, 2009, Mr. Masson and the other voting members of OCM VoteCo may have been deemed to form a "group," holding all 100 VoteCo units, and, as a result, Mr. Masson may have been deemed to be a beneficial owner of the .100 Class A Membership Units of OCM HoldCo directly held by OCM VoteCo.
- [F2]On August 31, 2009, Mr. Masson retired from Oaktree and, in accordance with OCM VoteCo's limited liability company operating agreement, his retirement triggered the immediate and automatic forfeiture of his membership interests in OCM VoteCo.
