- [F1]The options were issued in connection with the spin-off of the Issuer by Myriad Genetics, Inc. ("MGI") on 06/30/09, pursuant to which each outstanding MGI option was converted into an adjusted MGI option, exercisable for the same number of shares of common stock as the original MGI option, and a new Issuer option, exercisable for one-fourth of the number of shares of common stock as the original MGI option. An adjusted exercise price of each converted option was determined in accordance with Section 409A and Section 422 of the Internal Revenue Code of 1986. All other terms of the converted options remain the same however; the vesting and expiration is based on the optionholder's continuing employment with MGI or the Issuer, as applicable, following the spin-off.
- [F2]The options vested over a five-year period as to 20% of the shares on each anniversary of 04/20/00, the date of grant of the original MGI options.
