("Accelrys") pursuant to the merger agreement among Symyx Technologies, Inc., Accelrys and Alto Merger Sub, Inc., dated April 5, 2010 (the "Merger Agreement") and converted into an option to purchase 23,406 shares of Accelrys common stock at an exercise price of $12.19 per share.
