("Merger Sub"), a Delaware corporation, merged (the "Merger") with and into the SouthWest Water Company (the "Company"), pursuant to an Agreement and Plan of Merger dated as of March 2, 2010, among the Company, SW Merger Acquisition Corp. ("Parent") and Merger Sub. In the Merger, all issued and outstanding shares of common stock of the Company were cancelled. As a result of the Merger, the Company, as a the surviving corporation in the Merger, issued 100 shares of new common stock to Parent, representing all of the issued and outstanding capital stock of the Company.
