Arthur Nadel, et al. (Case No: 8:09-cv-87-T-26TBM) (the "Action") pursuant to the Order Appointing Receiver dated January 21, 2009. The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that such Reporting Person is the beneficial owner of the securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
- [F2]The shares listed in Table I above were originally issued to: (i) The Christopher Charles Moody Irrevocable Trust (94,673 shares); (ii) The Christopher Charles Moody Trust (47,340 shares); (iii) The Gabriella V. Moody Irrevocable Trust (94,673 shares); and (iv) The Gabriella V. Moody Trust (47,340 shares). Receiver believes the shares held by the above-referenced trusts were purchased with funds from the defrauded investors in the Action. The Reporting Person received those shares disclosed hereunder in separate stock certificates endorsed by the trustee for the above-referenced trusts.
