("BCI"), and BCI, as the sole general partner of Brookside Capital Partners Fund, L.P. ("BCP"), may each be deemed to share voting and dispositive power with respect to shares held by BCP. Mr. Ferrante, BCM and BCI disclaim beneficial ownership of such securities except to the extent of their pecuniary interest therein. On October 21st and 22nd, 2010 BCP sold 150,000 and 112,110 shares of Common Stock, respectively. Following such sales, BCP held 523,351 shares of Common Stock.
