Each restricted stock unit represents a contingent right to receive one share of ReachLocal, Inc. common stock. The restricted stock units vest according to the following schedule: 25% of the total number of restricted stock units vest on the first anniversary of the October 28, 2010 vesting start date (the "Vesting Start Date") and pro-rata quarterly thereafter. The restricted stock units will be completely vested on the fourth anniversary of the Vesting Start Date.
