- [F1]Dividend Capital Total Advisors LLC, the issuer's advisor (the "Advisor"), owned 20,000 partnership units ("OP Units") of Dividend Capital Total Realty Operating Partnership LP, the issuer's operating partnership (the "Operating Partnership"), of which the issuer is the general partner. Pursuant to the Third Amended and Restated Limited Partnership Agreement of the Operating Partnership (the "Partnership Agreement"), holders of OP Units may request the Operating Partnership to redeem all or a portion of their OP Units for, at the issuer's sole discretion, cash, shares of common stock of the issuer ("Common Shares"), or a combination of both. The Advisor tendered for redemption its 20,000 OP Units, which the issuer redeemed for Common Shares.
- [F2]Pursuant to the terms of the Partnership Agreement, the OP Units held by the Advisor were redeemed for Common Shares on a one-for-one basis.
