- [F1]On August 3, 2011, Mr. Zdarsky purchased 1,600,000 shares of the Company's common stock, and, in connection with such purchase, the Company issued to Mr. Zdarsky common stock purchase warrants that entitle him to purchase 1,600,000 shares of common stock at a price of $0.12 per share at any time prior to August 3, 2013.
- [F2]On August 3, 2011, the Company granted Mr. Zdarsky the option to purchase up to 3,400,000 shares of common stock at a price of $0.10 per share. This option expires on September 30, 2011. For each share purchased by Mr. Zdarsky pursuant to the option, the Company will also issue him a common stock purchase warrant that entitles him to purchase one share of common stock for $0.12 per share. If the common stock purchase warrants are issued by the Company, they will expire on September 30, 2013.
