Narang Revocable Trust u/t/a dated 6/30/99 transfered 500,000 shares of class B common stock of the Issuer (the "Class B Shares") to Narang Holdings II, LLC in exchange for 100% of the limited liablity company interests in Narang Holdings II, LLC. Narang Holdings II, LLC is managed by the Reporting Person, who has the power to direct the vote and to direct the disposition of investments owned by Narang Holdings II, LLC and therefore may be deemed to be an indirect beneficial owner of the reported securities. The transaction was undertaken for estate planning purposes. (Continued in Footnote 2)
- [F2]Immediately upon such transfer and pursuant to the Amended and Restated Certificate of Incorporation of the Issuer, the Class B Shares automatically converted into 500,000 shares of class A common stock of the Issuer. The filing of this report is not an admission by the Reporting Person that he is the beneficial owner of the reported securities for purposes of Section 16 or for any other purpose.
