- [F1]Subject to the termination of the option, if registrant does not execute an Amended and Restated Executive Employment Agreement substantially on the terms reviewed and approved by the Company's Board and/or Compensation Committee of the Board within 30 days of August 5, 2012, the above option shall terminate on September 4, 2012, otherwise, 50% of the shares subject to the option shall vest on March 13, 2013, and an additional 1/12 of the remaining shares subject to the option shall vest on the 13th of each month thereafter until all such shares vest, subject on each of the foregoing dates to the optionee remaining a service provider to the Company on such dates.
