- [F1]This option, which provided for vesting as to 25% of the shares subject thereto on the first anniversary of the date of grant and as to an additional 25% of such shares at the end of each twelve month period thereafter until the fourth anniversary of the date of grant, was cancelled upon consummation of the merger (the "Merger") contemplated by that certain Agreement and Plan of Merger, dated June 8, 2012, by and among Mercury Computer Systems, Inc., Wildcat Merger Sub. Inc. and Micronetics, Inc. In exchange for the cancellation of this option in the Merger, the reporting person is entitled to receive a cash payment equal to the product of (i) $14.80 less the exercise price per share of the option multiplied by (ii) the total number of shares underlying the option.
