- [F1]Each share of common stock was disposed of in exchange for a cash payment of $14.80 per share upon consummation of the merger (the "Merger") contemplated by that certain Agreement and Plan of Merger, dated June 8, 2012, by and among Mercury Computer Systems, Inc. ("Mercury"), Wildcat Merger Sub. Inc. and Micronetics, Inc.
- [F2]This option, which provided for vesting as to 25% of the shares subject thereto on the first anniversary of the date of grant and as to an additional 25% of such shares at the end of each twelve month period thereafter until the fourth anniversary of the date of grant, was cancelled in the Merger. The shares that were vested under this option immediately prior to the Merger were cancelled in exchange for a cash payment equal to the product of (i) $14.80 less the exercise price per share of the option multiplied by (ii) the number of such vested shares. The shares that were unvested under this option immediately prior to the Merger were cancelled in exchange for the issuance to the reporting person of an option to purchase shares of Mercury's common stock.
