Inc. and Micronetics, Inc.
- [F2]This option, which was fully vested, was cancelled in the Merger in exchange for a cash payment equal to the product of (i) $14.80 less the exercise price per share of the option multiplied by (ii) the total number of shares underlying the option.
- [F3]This option, which provided for vesting as to 25% of the shares subject thereto on the first anniversary of the date of grant and as to an additional 25% of such shares at the end of each twelve month period thereafter until the fourth anniversary of the date of grant, was cancelled in the Merger in exchange for a cash payment equal to the product of (i) $14.80 less the exercise price per share of the option multiplied by (ii) the total number of shares underlying the option.
