- [F2]The exchange ratio in the Merger was 0.98 shares of Issuer common stock for each share of First Trust common stock, with fractional shares paid in cash, subject to proration and allocation limitations. The proration and allocation calculations provided for in the Agreement and Plan of Merger, dated as of June 4, 2012, between First Trust and the Issuer(the"Merger Agreement") have not been completed as of the date of this report. Accordingly, it is not possible to determine the exact number of shares of Issuer common stock to be received by Mr. Bolt.
