- [F1]The reported transactions relate to the dissolution of Cypress Industrial Holdings, LLC ("Cypress") and the consequent distribution of Cypress' assets (including shares of Rexnord Corporation Common Stock held by it) to its members. The distribution was made pro rata in accordance with Cypress' organizational agreement to the members of Cypress, which consisted primarily of the Reporting Person, members of his family, or trusts for their benefit. Prior to the distribution, the Reporting Person reported all shares held by Cypress because he exercised sole voting and dispositive power with respect to Cypress' securities. See also footnote 2.
- [F2]Following the distribution, the Reporting Person's underlying pecuniary interests in the Rexnord shares have not changed; however, he is now reporting on this Form 4 only those Rexnord shares that are deemed to be owned by him pursuant to Section 16 of the Securities Exchange Act. In addition, this Form 4 excludes 196,195 Rexnord shares held after the distribution by a charitable trust of which the Reporting Person and his spouse are trustees but as to which they do not have a pecuniary interest.
