(the "Company") 2010 Stock Incentive Plan, as amended and restated (the "SIP"), in connection with the payment of a one-time, special cash dividend by the Company. The terms of the new restricted stock units are identical to those of the original restricted stock units. The original grant of restricted stock units was made to the reporting person on May 25, 2011 and the restricted stock units have vested. The reporting person has chosen to defer the settlement of the restricted stock units until after the reporting person's separation from service pursuant to the Company's Directors' Deferred Compensation Plan (the "Plan").
