The number of shares reported in the original report was based on the assumption that Mr. Bolt elected to receive issueer common stock with respect to all of his First Trust common stock owned immediately prior to the effective time of the Merger and that Mr. Bolt was issued Issuer common stock in accordance with his election. This amendment is being filed to reflect that Mr. Bolt elected to receive cash with respect to a portion of his shares of First Trust common stock, and to report the number of shares of Issuer common stock he received as merger considerations.
- [F2]The exchange ratio in the Merger was 0.98 shares of Issuer common stock for each share of First Trust common stock, with fractional shares paid in cash, subject to proration and allocation limitations. The proration and allocation calculations provided for in the Agreement and Plan of Merger, dated as of June 4, 2012, between First Trust and the Issuer(the"Merger Agreement") had not been completed as of the date of the original report.
