- [F1]Pursuant to the terms of his Employment Agreement, since Mr. Goodman has purchased in excess of $650,000 of the Company's Class A Common Stock within his first ninety (90) days of employment, the Company has issued one share of restricted stock to Mr. Goodman for each share of Class A Common Stock purchased by him through his first $650,000 of purchases (the "Bonus Restricted Stock".) The Bonus Restricted Stock was granted pursuant to The Wet Seal, Inc. 2005 Stock Incentive Plan (the "Plan). The Bonus Restricted Stock will vest with respect to 72,731 of the shares on the next two (2) anniversaries and with respect to 72,730 of the shares on the third anniversary of the Date of Grant, subject to Mr. Goodman's Continuous Service (as defined by the Plan) with the Company on each of those vesting dates and subject to his continuous holding of the related purchased stock.
