- [F1]The reporting person is a participant in the Atlas Energy, L.P. (formerly Atlas Pipeline Holdings, L.P.) (the "Partnership") long-term incentive plans (collectively, the "Plan"). The reporting person received 500 phantom units under the Plan on November 10, 2009, 3,951 phantom units on November 10, 2010, 2,145 phantom units on November 10, 2011 and 3,782 phantom units on November 10, 2012. Each phantom unit represents the right to receive, upon vesting, one common unit of the Partnership or its then fair market value in cash. The phantom units in the Plan vest 25% per year. On April 25, 2013, in connection with the reporting person's departure from the Partnership's board of directors to serve on the board of a privately-held affiliate of the Partnership, and upon the approval of the Partnership's board, all of the reporting person's unvested phantom units were accelerated and immediately converted into common units of the Partnership without additional consideration.
