The reported securities are owned directly by RRGC, and indirectly by (i) Retail & Restaurant Growth Partners, L.P., as the general partner of RRGC and (ii) Retail & Restaurant Growth Management, Inc., as the general partner of Retail & Restaurant Growth Partners, L.P. Retail & Restaurant Growth Partners, L.P. and Retail & Restaurant Growth Management, Inc. disclaim beneficial ownership of the reported securities except to the extent of their pecuniary interest therein.
[F2]On August 18, 2011, as part of RRGC's acquisition of 10,000,000 shares of Common Stock of the issuer from TLL Partners L.L.C. ("TLLP"), the shares became subject to a call option permitting TLLP for a period of 15 months to purchase some or all of such shares at an exercise price of $1 per share. The call option expired on November 16, 2012.
[F3]Also as part of RRGC's acquisition of 10,000,000 shares of Common Stock on August 18, 2011, the shares became subject to a put option permitting RRGC to sell to TLLP for 30 days following the expiration of the call option some or all of such shares then held by RRGC at an exercise price of $1.00 per share.
[F4]TLLP and RRGC agreed, without any additional payment, to extend the put option described in note (3) until January 18, 2013.
