Each one-third of the shares of Restricted Stock is independently subject to the Company's achievement of a particular performance goal. With respect to each of two of the performance goals, if the Company achieves such performance goal during 2013, the shares of Restricted Stock subject to such performance goal vest in three equal increments on (i) December 31, 2013, (ii) December 31, 2014 and (iii) December 31, 2015. If the third performance goal is achieved at or prior to March 31, 2014, the shares of Restricted Stock subject to such performance goal vest in three equal increments on (i) the date of achievement of the performance goal, (ii) December 31, 2014 and (iii) December 31, 2015. All vesting is subject to the reporting person's continued employment with the Company through each applicable vesting date.
