In addition, each share of Class B Common Stock will convert automatically into one share of Class A Common Stock upon any transfer, whether or not for value, except for certain permitted transfers described in the Issuer's Amended and Restated Certificate of Incorporation.
- [F2]On December 31, 2013, certain trusts for the benefit of Thomas J. Pritzker and/or certain of his lineal descendants and certain entities owned by trusts for the benefit of Thomas J. Pritzker and/or certain of his lineal descendants contributed 16,728,958 shares of Class B Common Stock in the aggregate to the Reporting Person in exchange for membership interests in the Reporting Person. No cash consideration was paid in connection with the contributions. Each contribution of shares of Class B Common Stock to the Reporting Person constitutes a "permitted transfer" as defined under the Issuer's Amended and Restated Certificate of Incorporation. Accordingly, immediately following the contributions, the shares remain shares of Class B Common Stock.
