Each share of phantom stock is the economic equivalent of one share of the Issuer's Common Stock. Except as otherwise provided under the terms of the Deferred Compensation Plan, the shares of phantom stock will become payable in shares of the Issuer's Common Stock (or cash at the Issuer's election) upon the earliest to occur of Separation from Service (subject to a 6 month delay for specified employees), death, Change in Control or a scheduled withdrawal date.
