As a result of the Distribution, the reporting person received 0.019118445 shares of common stock of the Issuer for every one share of IP common stock held by the reporting person as of the record date for the Distribution, which was June 20, 2014. The acquisition of shares by the reporting person as a result of the Distribution is exempt from Section 16 of the Securities Exchange Act (the "Exchange Act") pursuant to Rule 16a-9 promulgated under the Exchange Act.
