Gillings, the Executive Chairman and a greater than 10% beneficial owner of Quintiles Transnational Holdings Inc., of 500,000 shares of Quintiles Transnational Holdings Inc. common stock pursuant to the exercise of options granted to him under the Quintiles Transnational Holdings Inc. 2008 Stock Incentive Plan.
- [F2]On May 19, 2015, the Reporting Person's deemed indirect beneficial ownership of common stock decreased through the sale of 2,463,123 shares of common stock owned by her spouse, Dennis B. Gillings, the Executive Chairman and a greater than 10% beneficial owner of Quintiles Transnational Holdings Inc. and the sale of 40,000 shares of common stock owned by GFEF Limited Partnership, of which her spouse, Dennis B. Gillings, is general partner. Following this sale, the Reporting Person may be deemed to beneficially own the shares that may be beneficially owned by her spouse, which consist of 11,542,230 shares held directly by him and 121,699 shares held by the GFEF Limited Partnership. The Reporting Person disclaims beneficial ownership of these securities except to the extent of her pecuniary interest therein.
- [F3]Options granted to the Reporting Person's spouse, Dennis B. Gillings, under the Quintiles Transnational Holdings Inc. 2008 Stock Incentive Plan to purchase 500,000 shares of Quintiles Transnational Holdings Inc. common stock, all of which vested on June 30, 2008.
