- [F3]On or about September 30, 2009, the Issuer paid a quarterly cash dividend to all of its record holders of common stock on September 16, 2009. The number of derivative securities reported in Column 9 includes 128 phantom stock units received by the reporting person on or about September 30, 2009 pursuant to the Issuer's Amended and Restated Deferred Compensation Plan. These 128 phantom stock units, of which 72 units are vested and 56 units vest on the date of the Issuer's 2010 annual meeting, represent the re-investment of the cash dividend payable to the reporting person with respect to his existing phantom stock units received pursuant to the Issuer's Amended and Restated Deferred Compensation Plan. The receipt of such additional phantom stock units was exempt from Section 16 of the Securities Exchange Act of 1934, as amended.
