- [F1]Deferred stock units pursuant to a Director Deferred Stock Unit Award for non-employee Directors under the Pier 1 Imports, Inc. 2006 Stock Incentive Plan, restated as amended. The deferred stock units are with respect to a $0.06 per common share dividend paid by the Issuer on February 5, 2014. The deferred stock units equal the product of the dividend payment amount per share multiplied by the number of deferred stock units credited to the reporting person as of January 22, 2014 (record date for the dividend) divided by $18.34, the closing price of the Issuer's common stock on February 5, 2014 (dividend payable date). The deferred stock units were credited to the reporting person's deferred stock units account maintained by the Issuer, on February 5, 2014, and are to be settled within five (5) business days after the person ceases being a member of the Board of Directors. Each deferred stock unit is the economic equivalent of one share of the Issuer's common stock.
- [F2]On February 5, 2014, the Pier 1 Imports, Inc. Stock Purchase Plan, restated as amended, purchased in a transaction exempt under rule 16b-3(c), shares of common stock for the reporting person's account. Such shares are with respect to a $0.06 per common share dividend paid by the Issuer on February 5, 2014 (the dividend payment date) on shares held in the reporting person's account as of January 22, 2014 (the record date for the dividend). The dividend paid was reinvested at the closing price of the Issuer's common stock on the New York Stock Exchange on February 5, 2014.
