- [F1]On June 30, 2010, EREF-TELA, LLC, a Delaware limited liability company ("EREF"), HCP-TELA, LLC, a Delaware limited liability company ("HCP"), and CBG-TELA, LLC, a Delaware limited liability company ("CBG," and together with EREF and HCP, the "Purchasers"), entered into a securities purchase agreement (the "Purchase Agreement") with the Issuer. Pursuant to Section 1(e) of the Purchase Agreement, the Issuer agreed to issue additional shares of common stock to EREF, HCP and CBG in the event that the Issuer received a notice that it is obligated to pay certain specified contingent liabilities within two years of the closing. The Issuer has received such notice and has issued the shares reflected in this report under the terms of the Purchase Agreement.
- [F2]The shares are held by CBG. Mr. Hale is the investment advisor to the Charles Hale Family 2009 Irrevocable Trust (the "Trust") which is a member of CBG, holding 25% of the membership units in CBG. CBG is organized in a manner similar to a limited partnership with the Trust acting as a limited partner. Neither Mr. Hale nor the Trust has the power to vote or dispose of, or the power to direct the voting or disposition of, the securities of the Issuer owned by CBG, however, the manager of CBG is required to obtain the prior written consent of the members of CBG before disposing of the shares of the Issuer held by CBG. The reporting person disclaims beneficial ownership of the shares held by CBG except to the extent of his pecuniary interest therein.
