As previously disclosed in the Issuer's public filings, WBI purchased an aggregate of 10,229,602 shares in exchange for (i) certain license and distribution rights; (ii) the cancellation and satisfaction of a $300,000 loan owed by the Issuer; and (iii) $1,200,000 in inventory, the sales proceeds of which are to be contributed to the capital of the Issuer.
