- [F1]On May 14, 2012, Midas Medici Group Holdings Inc. entered into a Note Exchange Agreement with each of Knox Lawrence International, LLC ("KLI") and Quotidian Capital, LLC ("Quotidian") for the conversion of 60% of the outstanding balance, including accrued interest, of certain notes issued to KLI and Quotidian in August 2011, at a conversion price of $1.50. Pursuant to the note exchange agreements with each of KLI and Quotidian, the Company issued, 402,819 and 279,918 shares of its common stock to KLI and Quotidian, respectively.
