Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 26, 2013, Rob Cain resigned as Chief Operating Officer of Telanetix, Inc. (the “Company”). Mr. Cain will remain employed by the Company as Operating Advisor, a non-executive position, with reduced salary and benefits from his current levels.
