Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Departure of Directors

On January 5, 2016, director Fred Michini resigned from the board of directors of North Bay Resources Inc. (the "Company") effective immediately. Mr. Michini's decision to resign was for personal reasons, and not based upon any disagreement with the Company on any matter relating to the Company's operations, policies or practices as contemplated by Item 5.02(a) of Form 8-K. Mr. Michini had served on the Board of Directors since 2007. The Company deeply appreciates Mr. Michini’s years of dedicated and valued service to the Board, and wishes him all the best in his future pursuits.
