The principal amount of the Note is $18,750 and carries a 10% interest rate per annum. 37,500 Common Stock Purchase Warrants were granted to Mr. Brodmerkel on November 29, 2022, pursuant to the Note at an exercise price priced at the same price as included in an offering in conjunction with listing at the Nasdaq Global Market. The Warrants are exercisable at any time on or after May 29, 2023, and on or before the November 29, 2027.
