- [F1]These shares are owned as follows: (a) 39,500 shares by the Hakman Family Trust, a trust formed under an agreement dated May 1, 1997, of which the Reporting Person is both a trustee and a beneficiary; (b) 30,000 shares by the Hakman Capital Corporation Profit Sharing Plan and Trust; and (c) 240,000 shares by Hakman Capital Corporation. The Reporting Person is the registered owner of 80% of the issued and outstanding shares of Hakman Capital Corporation and each of his two children (neither of whom lives in the Reporting Person's household) is a registered owner of 10% of the issued and outstanding shares of Hakman Capital Corporation. The Reporting Person disclaims beneficial ownership of the 20% owned by his children.
