- [F1]On August 13, 2003, rStar's Corporation Compensation Committee approved a grant to the Cheif Executive Officer and Director, Mr. Salameh, of 2,822,306 options to purchase shares of common stock at the average trading price for the month of October 2002 per share, in accordance with rStar's 1998 Stock Plan, as amended 2000. On the same day, rStar Corporation's Board of Directors ratified the issuance of a grant in the amount of 2,822,306 Options to purchase shares of Common Stock, which shall vest over a period of four (4) years.
- [F2]Mr. Salameh's options shall vest over a forty-eight (48) month period commencing on November 4, 2002 (the "VESTING COMMENCEMENT DATE") with 1/48 of the Options vesting on the fourth day of each calendar month following the Vesting Commencement Date (each a "VESTING DATE"), provided that on the applicable Vesting Date, Mr. Salameh remain actively employed with the Corporation [i.e, 1/48th of the 2,822,306 Options granted hereby (or 58,798 Options)] shall vest monthly on the fourth day of each calendar month thereafter through October 4, 2006). Until the fourth anniversary, which would be on October 04, 2006, 2,822,306 options shall have vested and deemed exercisable for Mr. Salameh.
