Each RSU represents a right to receive one share of the Company's common stock on the date which is 200 days immediately following the date upon which the Reporting Person's services as a member of the Company's Board of Directors terminate for any reason. The RSUs are immediately vested and non-forfeitable. The grant of RSUs is part of William J.G. Griffith's ("Mr. Griffith") compensation as a non-employee member of the Company's Board of Directors.
