In December 2009, a reorganization of the group of companies controlled by ENSCO International Incorporated was completed pursuant to which each issued and outstanding share of common stock was converted into the right to receive one American depositary share (NYSE ticker symbol ESV), each of which represents one Class A ordinary share of Ensco International plc, an English public limited company. Ensco International plc became the parent company on December 23, 2009 and, pursuant to Rule 12g-3, is the successor issuer to ENSCO International Incorporated under Section 12(b) of the Securities Exchange Act of 1934, as amended.
