- [F1]Restricted shares granted pursuant to a Restricted Stock Award Agreement under the ISCO International, Inc. 2003 Equity Incentive Plan, dated January 12, 2006, by and between the Issuer and the reporting person (the "Award Agreement"). 1,500,000 of the subject shares will vest over time in 4 installments of 375,000 shares each beginning on June 30, 2006 and continuing every 6 months thereafter until December 31, 2007. 1,000,000 shares will vest on the filing dates of the Issuer's Form 10-K's for the 2006 and 2007 fiscal years, if the performance goals set forth in the Award Agreement are achieved. All of the aforementioned vesting is conditioned upon the reporting person's continued employment by the Issuer.
