The press release dated October 1, 2003, by the registrant, announcing that Apax Partners has informed the registrant that investment funds advised by Apax Partners have made a modified conditional private purchase offer to the registrant’s major shareholders with respect to their shareholdings in the registrant, is attached to this report as Appendix A.

Modified conditional Private Purchase Offer made to Major Shareholders

Amsterdam, October 1st, 2003—IFCO Systems N.V. („IFCO Systems”) announces that it has been informed by APAX Partners that investment funds advised by APAX Partners, acting through Island International Investment Limited Partnership, have made a modified conditional private purchase offer to IFCO Systems’ major shareholders with respect to their shareholdings in IFCO Systems on October 1st, 2003. IFCO Systems has been further informed that such APAX funds are advised by Deutsche Bank AG in their Conditional Offer. According to APAX Partners, the full details of the Conditional Offer have been made available to the major shareholders of IFCO Systems.
